1. Acceptance & Engagement Framework

By executing a Statement of Work (SOW), project proposal, or submitting an invoice payment, you enter into a binding agreement with Tesberry Pvt Ltd. All services are rendered pursuant to specific SOW agreements executed between Tesberry and the client.

2. Scope of Custom Services

Tesberry specializes in bespoke B2B AI automation and cloud engineering services, including:

• Custom Private LLM Pipeline & Vector Search Architecture
• VPC & On-Premise AI Deployment Engineering
• Enterprise Workflow Automation & API Integration
• Strategic AI Infrastructure & Security Auditing

Services are delivered on a custom project milestone or retainer basis as agreed upon in the project Statement of Work.

3. Intellectual Property & Code Ownership

Upon receipt of full and final payment as stipulated in the project SOW, client receives 100% ownership of custom software deliverables, codebases, and deployment scripts engineered specifically for their project. Tesberry retains ownership of pre-existing general frameworks, core algorithms, and reusable developer utilities developed prior to or independently of the project.

4. Payment Terms & Invoicing

Pricing, milestone payments, and invoicing schedules are detailed in each client's individual SOW. Invoices are payable within the agreed credit term (typically 15 to 30 days from invoice date). Milestone payments may be processed securely online via credit/debit card or net banking through PCI-DSS compliant payment gateways.

5. Confidentiality & Non-Disclosure

Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, system architectures, and client data exchanged during the engagement.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute or claim arising out of these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
